Before any structure is chosen, Toma Management reviews whether the target market genuinely fits the business's commercial activity. We do not rely on generic market data or assumptions about which jurisdictions are currently popular. A market can appear promising on the surface while presenting practical obstacles that only become clear once the transaction geography and counterparty profile are properly examined. Establishing a European Semiconductor Security Hub

Client Situation

Jmem Technology, a Taiwanese semiconductor security firm specialising in post-quantum cryptography and hardware-based trust architecture, needed a European base to support its expansion into AI, defence and critical infrastructure markets. The business required a route that balanced Taiwanese manufacturing capability with a genuinely operational European research and engineering presence, rather than a symbolic office setup.

What Toma Management Addressed

The engagement focused on structuring a Czech design with a Taiwanese production model that reduced dependence on geopolitically sensitive supply chains whilst giving the company a credible foothold for European R&D and industrial partnerships. This meant coordinating the entity structure to support collaboration with local semiconductor clusters, universities and industrial partners from day one, rather than treating incorporation as a separate step from the company's actual research and hiring plans.

Outcome

Jmem Technology opened its first European office in Prague and is progressively establishing a research, development and engineering centre in Brno, positioned as the company's European innovation hub for hardware cybersecurity. The structure supports ongoing collaboration with the Czech National Semiconductor Cluster and academic institutions as the business scales its European presence.

Supporting an Industrial Transformation and Market Expansion

Client Situation

Zetor Tractors, a long-established Czech agricultural machinery manufacturer exporting to 136 countries, was undertaking a complete overhaul of its product portfolio to compete in a rapidly digitalising industry, while simultaneously pursuing expansion into new markets including India. The business needed to manage this transformation across multiple jurisdictions with very different regulatory and emissions requirements.

What Toma Management Addressed

Our work centred on structuring the company's approach to divergent market requirements. In particular, the need to separate product lines and operational entities for European and US markets, which demand advanced emissions technology, from the simpler and more cost-sensitive requirements of the Indian and broader Asian markets. This included supporting the establishment of a joint-venture structure in India to enable local mass production, alongside a US entity capable of delivering higher-specification products.

Outcome

Zetor Tractors successfully established a foothold in India through a local joint venture now producing tractors domestically, while maintaining distinct and compliant operating structures for its European and American markets. The business continues to expand its new technology portfolio, including GPS-enabled and autonomous driving systems, across its international operations.

Structuring a Cross-Border Laboratory Acquisition

Client Situation

Eurofins Agro Testing sought to strengthen its presence in Central Europe by acquiring Laboratoř Postoloprty, an established Czech agro testing laboratory with over 35 years of operating history, accreditation from the Czech Accreditation Institute, and specialised precision agriculture capabilities including drone-based crop mapping. The acquisition needed to preserve the target's local accreditation, client relationships and specialist software whilst integrating it into a much larger international group.

What Toma Management Addressed

The engagement addressed the structural and compliance considerations required to fold a locally accredited, specialist entity into an international laboratory network without disrupting its regulatory standing or its authorisation from the Central Institute for Supervising and Testing in Agriculture. This included attention to how the combined entity would continue meeting Czech regulatory requirements while gaining access to the group's broader analytical and commercial infrastructure.

Outcome

The acquisition extended Eurofins Agro Testing's footprint in Central Europe, combining Laboratoř Postoloprty's established local expertise and proprietary SKYZOL software with the group's international resources, whilst retaining the accreditation and client relationships built over three and a half decades. The combined business now offers an expanded range of testing and precision agriculture services to regional clients.

Enabling Semiconductor Supply Chain Collaboration in Europe

Client Situation

Topco, a Taiwanese semiconductor materials and supply chain group, sought to deepen its collaboration with Czech industry representatives to expand semiconductor opportunities across the European Union, as part of a broader strategy of establishing overseas locations aligned with major fabrication investments. The company needed a structured route for formalising partnerships and building an operational presence to support this expansion.

What Toma Management Addressed

The work focused on structuring the framework for collaboration between Topco and Czech industry counterparts, addressing the practical requirements of establishing operational and warehousing capacity in the region to support the group's wider European semiconductor materials strategy. This included aligning the entity approach with the company's plans for offices in Germany and warehousing in the Czech Republic as part of a coordinated regional footprint.

Outcome

Topco signed a memorandum of understanding with Czech industry representatives to expand semiconductor opportunities in the EU, supporting the company's broader strategy of establishing localised supply chain infrastructure across Europe to serve its semiconductor manufacturing clients.
